Coufal Elektronik AG sells the goods specified in the catalog to corporate customers (hereinafter referred to as “customer”) under the terms and conditions of delivery and sale listed below.
The contract between the customer and Coufal is only concluded when the customer places an order and Coufal accepts it. The customer’s order is placed by phone, in writing or via the Internet. Coufal accepts the order by (a) sending the customer an order confirmation (by fax, e-mail or post) or (b) delivering the ordered goods (including delivery note).
All information on the goods that the customer receives during the ordering process is non-binding. In particular, we reserve the right to make changes in design and technology that improve the functionality of goods, as well as errors in descriptions, images and prices. All technical information on the individual goods is based on the information provided by the manufacturer and is binding in this context.
The catalog prices are in Swiss Francs (CHF), including VAT, unpackaged, unfranked from the Wolfhalden warehouse. Shipping costs are calculated separately. In principle, payment must be made within 30 days of invoicing. New customers are only supplied against prepayment or cash. Coufal reserves the right to deliver to existing customers against prepayment. Deliveries abroad generally only against prepayment.
If in stock, the products will be delivered immediately to the address given by the customer.Otherwise, a written order confirmation will be sent with the expected delivery date. The goods are delivered (from the loading ramp) at the customer’s expense and risk, even if partial deliveries are made. Claims are settled in the case of externally visible damage to the ordered goods only against a certificate from the respective carrier. If an ordered product is no longer available at the time of delivery, Coufal expressly reserves the right to exchange the product for an equivalent product.
The delivered goods remain the property of Coufal until they have been paid for in full. This is entitled to make a corresponding entry in the retention of title register. If the customer defaults on paying the purchase price, Coufal is entitled to withdraw from the contract (declaration of withdrawal) and to take possession of the goods.
The customer has the right within a period of 30 days to revoke the conclusion of the contract without giving reasons and to return the goods. The delivered goods are to be returned undamaged, functional, complete and in perfect original packaging. If the above conditions are not met, we will charge a processing fee of CHF 50. The right of return begins when the customer receives the goods. This also bears the costs of the return. Any repairs will be invoiced to the customer by Coufal. If the customer has returned the goods correctly and on time, he will receive a credit note from Coufal or, if requested, a replacement delivery.
For all products offered in the catalog and on the Internet, the guarantee period is 24 months from the date of purchase, unless a longer guarantee period is expressly stated. Products will be replaced or repaired free of charge if the customer reports the defect in writing within 14 working days of receipt of the goods. If a product can no longer be repaired or replaced, an equivalent product will be exchanged for the customer or a credit will be issued. The guarantee expires if changes or repairs are made to the goods without Coufal’s written consent. As far as the statutory provisions allow, liability for damages is excluded. In particular, Coufal is not liable for damage that can be traced back to improper use or natural wear and tear or for damage that did not occur on the delivery item itself (consequential damage caused by a defect). Repair services due to damage in the battery compartment (leaked batteries) are chargeable.
Coufal reserves all rights for every design, every text and every graphic on its website. Copying or any other reproduction of the entire website or parts of this website is only permitted for the purpose of placing an order with Coufal. The name Coufal, all page headers, navigation bars, graphics and button symbols are registered trademarks, trademarks or registered trademarks of Coufal. All other trademarks, product names or company names or logos cited on this website are the sole property of the respective authorized persons. Coufal reserves the property rights and copyrights to illustrations, drawings, calculations and other documents. Before passing them on to third parties, the customer requires the express written consent of Coufal.
10. Place of jurisdiction and applicable law
The present General Terms and Conditions and the contracts that are concluded on the basis of these General Terms and Conditions are subject to Swiss law to the exclusion of the UN Sales Convention (CISG). The place of jurisdiction is Wolfhalden.
When the goods specified in the Coufal catalog are sold, only the GTC in the version valid at the time the respective contract is concluded apply. These terms and conditions also apply in particular if they differ from those of the customer. Should individual provisions of these terms and conditions be or become ineffective, this does not affect the legal validity of the remaining provisions.
